Getting started with business structure
Hello everybody, We are looking forward to leasing out some airplanes. It seems wise to have each airplane in a separate holding company, probably a Wyoming LLC. Is that the kind of thing you all are doing? Any do's or don't's from folks further ahead on the path?

I also use the state of residency which my CPA suggested. This comprises of a "holding" LLC which can be taxed as an S-Corp (or not), along with a subsidiary "asset" LLC for each aircraft, for liability protection. The holding LLC is setup as a partnership with my spouse and that is the only taxed entity. The asset LLCs are disregarded entities for tax purposes. Leases to flight schools will be with the holding LLC. The aircraft loans are in the asset LLCs. And I have an internal lease where the asset LLC leases the aircraft to the holding LLC so that it in turn can lease it back to flight schools with NNN leases.

Overhaul Options
How are all y'all planning for engine rebuilds? Are you banking a bit per hour or do you do something different? I have been planning in bit of cash for the engine and prop overhauls from the hourly, but I'm wondering if refinancing the plane to include the overhauls when they come due may be a better option...Thoughts? I should say that banking the money before hand is really the safest option considering rates and bank interest in your concept may change then you are out. But its something to keep in mind if the time comes sooner than we are thinking.

I'm also planning on banking per hour. Although that's an interesting idea. Do you know if refinancing is easier than initial acquisition? I'm very new to this so I have no idea.

If it’s ok, I think it could be a good idea if people wanted to intro themselves so we could see who shares the same interest and we can follow them. GOALS: I want to have a large base of training planes to be leased to flight schools and hope to expand into light and VLJ as well. I have an aggressive 3 yr goal.

I'm a network engineer by profession although I’ve been hooked on aviation since I was a teenager, starting out at YUL airport before moving up with American Airlines in YVR as a supervisor and later in IT roles at JFK, EWR, LGA, and the Tulsa maintenance base. After years working in IT, I returned to aviation because I missed it too much. Now I’m focused on general aviation—building an aircraft leasing business to help flight schools expand their fleets and tackle the pilot shortage.
