You’re right @Brian Reyburn. When you engage with owners off market, they’re likely unfamiliar with the sales process, business valuation, or what’s required to make the business financeable. You can see the obvious conflict of the interest here- you’re the buyer, the broker, and their therapist. When it comes to SBA specifically, this is where defensible add-backs matter. We expect owners to be operating in a cash/tax efficient manner. That’s why it’s so important to carefully consider add-backs to have a clearer picture of the actual SDE/EBITDA. Lenders are open to reasonable add-backs and that’s the key to SBA underwriting.

Absolutely @Brian Reyburn! That's a great example of why it's so important as a searcher to really understand the market and how transactions are done. You'll never be a tax CPA, but you need to know how these deals impact taxes for both the buyer and seller so you can work with the seller in good faith. Also super important to have a stellar deal team supporting you.
